1. OBJECT

1. FRIMGLE is a business coaching specialist offering services in the field of professional development, strategic support, operational support, mindset coaching, information, and business performance consulting.
2. The Client wishes to entrust FRIMGLE, who accepts it, with the mission of supporting their professional and entrepreneurial development according to the framework specified in the Quote. This mission may include, without limitation, improving managerial skills, optimizing decision-making processes, developing commercial strategies, and improving the overall performance of the Client and/or their organization.
3. The hereby presented general conditions (the “General Conditions”) apply, without restriction or reservation, to all of the services provided by FRIMGLE to the Client, the latter confirming, by signing the Quote, their full and entire agreement to the text of the General Conditions.

2. FRIMGLE’S OBLIGATIONS

1. FRIMGLE undertakes to perform its services and to comply with the obligations set forth in the Quote.
2. Within the scope of offered services, FRIMGLE shall only be bound by an obligation of means, but undertakes to use its best efforts to execute its obligations in accordance with professional practice.
3. FRIMGLE commits to adhere to a rigorous professional code of conduct including:
   • Respect for the dignity and integrity of the Client
   • Commitment to total confidentiality regarding information shared by the Client
   • An attitude of neutrality and non-judgment
   • Prohibition of abuse of influence or manipulation
   • Commitment to continuous development of professional skills
4. FRIMGLE commits to strict confidentiality on all subjects discussed during coaching sessions, unless explicit agreement to the contrary is received from the Client.

3. OBLIGATIONS OF THE CLIENT

1. The Client undertakes to actively participate in the coaching process and to respect the commitments made within the framework of the chosen program.
2. The Client commits to being diligent in attending scheduled sessions and to carrying out the required personal work between sessions in order to optimize the benefits of coaching.
3. The Client commits to collaborate with FRIMGLE in the execution of the contractual agreements concluded between the Parties, in particular by preparing and making available the information necessary for the accomplishment of its mission.
4. The Client undertakes to communicate in a sincere and transparent manner the information relevant to the coaching process, and assumes full responsibility for the implementation of the advice and strategies proposed.

4. COMING INTO FORCE

1. The collaboration between the Parties takes effect on the date of validation of the Quote by the Client.
2. In the absence of other specific deadlines which would be stipulated within the scope of the FRIMGLE Quote, in which case such deadlines would apply by derogation from these General Conditions, the collaboration between the Parties is concluded for an indefinite duration.
3. Subject to any other provisions set forth in the Quote, in the event that the collaboration between the Parties is concluded for an indefinite period, each of the Parties may, however, terminate it, in accordance with the procedures provided for in Article 11 below.

5. INTELLECTUAL PROPERTY

1. Acceptance of these General Conditions and the conclusion of the collaboration between the Parties does not entail any transfer or license of rights of any kind, for the benefit of either of the Parties.
